Terms of Service

By accessing or using LabMatix ("the Service"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using LabMatix on behalf of a laboratory or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not use the Service.

LabMatix is a cloud-based Laboratory Information Management System (LIMS) that provides:

• Sample registration, tracking, and chain-of-custody management
• Test protocol management and result recording with multi-step approval workflows
• Client portal for result delivery and invoice access
• Compliance tools including document control, CAPA management, and training records
• Analytics, reporting, and data export capabilities
• iOS and Android mobile companion applications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable prior notice to existing subscribers.

To use LabMatix, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized use of your account at security@labmatix.app
• Ensuring that all users you invite to your organization comply with these Terms

LabMatix implements role-based access control. The organization owner is responsible for assigning appropriate roles to team members and revoking access when users leave the organization.

You agree to use LabMatix only for lawful purposes. You must not:

• Use the Service to store or transmit data in violation of applicable Indonesian or international law
• Attempt to gain unauthorized access to other organizations' data or to LabMatix's infrastructure
• Reverse engineer, decompile, or disassemble any component of the Service
• Use the Service to transmit malware, viruses, or any other malicious code
• Scrape, harvest, or otherwise extract data from the Service by automated means without our written permission
• Resell, sublicense, or provide access to the Service to third parties without entering a partner or reseller agreement
• Misrepresent laboratory data, results, or accreditation status through the platform

Plans & Pricing

LabMatix offers Starter, Professional, and Enterprise subscription plans as described on our Pricing page. Prices are displayed in Indonesian Rupiah (IDR) and are inclusive of applicable VAT where required.

Free Trial

New accounts receive a 14-day free trial with full Professional plan features. No credit card is required to start. At the end of the trial, you must subscribe to continue using paid features.

Billing Cycle

Subscriptions are billed in advance, monthly or yearly. A renewal invoice is sent before the end of each paid period. If a subscription or free trial ends without payment, your organization becomes read-only for one month — you can still view and export your data, but not make changes — and is then locked until it is renewed. Your data is not deleted when access is locked. Paying restores full access.

Promotional Codes & Referrals

• Promotional codes (e.g., LAUNCH30) apply to an organization's first paid subscription only, and only to the plans and billing periods stated for the code
• An organization that signs up with a referral code gets the stated referral discount for the stated number of paid months; it cannot be combined with a promotional code
• If you refer another organization, you earn referral credit once that organization has paid for the number of months stated in your referral details (a yearly payment counts as 12). Credit is deducted from your next invoices
• Promotional offers are subject to expiry dates and may be withdrawn at any time for new redemptions
• Non-subscribers who promote LabMatix through our affiliate program are covered by the separate Affiliate Program Terms (/affiliate/terms)

Cancellation & Refunds

You may cancel your subscription at any time from Settings → Billing. Your access continues until the end of the current billing period. We do not provide pro-rated refunds for partial months, except as required by Indonesian consumer protection law.

LabMatix and its underlying software, trademarks, brand assets, and documentation are the intellectual property of LabMatix and its licensors. These Terms do not grant you any ownership rights in the Service.

Your data is yours. You retain full ownership of all laboratory data, sample records, test results, documents, and other content you upload or create within LabMatix. We claim no intellectual property rights over your data.

You grant LabMatix a limited, non-exclusive license to process your data solely to provide the Service and as described in our Privacy Policy.

You can export your data at any time in JSON format via Settings → Billing → Export Organisation Data, and sample, test and audit lists as CSV. If an administrator deletes your organization, it is locked immediately and permanently deleted from our systems 30 days later; any administrator can cancel the deletion during that time. Export anything you need before deleting.

We will never use your laboratory data — including sample records, test results, or client information — for training AI/ML models, benchmarking, or any purpose beyond operating the Service you subscribed to.

We target 99.9% monthly uptime for the LabMatix platform (excluding scheduled maintenance windows announced with at least 24 hours notice). In the event of an outage:

• We will communicate status updates via status.labmatix.app and email
• Pro-rated service credits may be issued for extended outages at our discretion
• Enterprise customers may negotiate formal SLAs with guaranteed uptime and response time commitments

To the maximum extent permitted by Indonesian law, LabMatix shall not be liable for:

• Indirect, incidental, consequential, or punitive damages arising from use of the Service
• Loss of data resulting from your failure to maintain adequate backups (we provide tools for data export)
• Regulatory or compliance consequences arising from how you configure or use the platform
• Third-party service failures (internet connectivity, payment processors, email delivery)

Our total liability for any claim arising from these Terms shall not exceed the total fees paid by you to LabMatix in the 3 months preceding the claim.

Either party may terminate this agreement:

• You may cancel at any time through Settings → Billing
• We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or engage in fraudulent activity
• We may terminate the Service with 60 days notice to all subscribers if we discontinue operations

Upon termination, your right to access the Service ceases. Sections 6, 7, 9, 11, and 12 survive termination.

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, including but not limited to:

• Undang-Undang No. 11 Tahun 2008 tentang Informasi dan Transaksi Elektronik (ITE Law) and its amendments
• Peraturan Pemerintah No. 71 Tahun 2019 tentang Penyelenggaraan Sistem dan Transaksi Elektronik
• Undang-Undang No. 27 Tahun 2022 tentang Pelindungan Data Pribadi (Personal Data Protection Law)

Any disputes shall be resolved through negotiation in good faith, and if unresolved, through the courts of the Republic of Indonesia in South Jakarta.

We may update these Terms from time to time to reflect changes in our service or applicable law. We will notify you by email and in-app notice at least 14 days before any material changes take effect. Continued use of LabMatix after the effective date constitutes acceptance of the revised Terms.
